- Acceptance of Terms By purchasing membership to CycleBreak Society (the "Program") or accessing any materials provided by CycleBreak Society (the "Company"), you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not purchase or use our services.

Medical & Health Disclaimer
2.1 Non-Medical Nature: The Company provides health coaching, educational content, and lifestyle strategies. We are not doctors, registered dietitians, or a medical facility. Nothing in the Program—including the review of blood work, nutrition protocols, or coaching calls—constitutes medical advice, diagnosis, or treatment.
2.2 Functional Data: Any review of your blood work or medical history is strictly for educational and lifestyle optimization purposes. We interpret data through a functional lens to suggest lifestyle interventions, not to diagnose pathology or cure disease.
2.3 Client Responsibility: You acknowledge that you should consult with your primary care physician before making any changes to your diet, exercise, or supplement routine. This is especially vital if you have pre-existing conditions (including PCOS, Diabetes, Thyroid issues) or are taking prescription medications (including GLP-1 agonists).

Scope of Services
The Program includes the services explicitly listed on the checkout page (e.g., App access,
WhatsApp support, Loom reviews).
3.1 Availability: "Daily" check-ins refer to business days (Monday–Friday) unless otherwise specified. We operate globally but aim to respond within 24 hours.
3.2 Third-Party Platforms: We utilize secure third-party platforms (Everfit, WhatsApp, Loom) to deliver the service. We are not liable for technical outages originating from these providers. -
The "Action-Based" Guarantee & Refunds
4.1 No "Change of Mind": Due to the immediate delivery of digital assets and high-touch onboarding, we do not offer refunds for "change of mind" once the intake process has begun.
4.2 The Guarantee Terms: We offer a conditional guarantee. If you participate fully for 30 days and see no physiological or psychological progress, we will offer a refund or extended coaching at our expense. To qualify, you must provide proof of implementation, defined as:
- Completion of 80% of daily habit logs in the App.
- Submission of all 4 Weekly Check-in forms.
- Attendance (or confirmed replay viewing) of at least 3 "Boardroom" calls.
- Photographic proof of nutrition adherence for at least 20 days.
4.3 Disqualification: If you do not utilize the tools (e.g., you do not log in, do not reply to coach messages, or "ghost" the program), you are not eligible for a refund. This guarantee covers the inefficacy of the protocol, not the inaction of the client.

Billing, Payments & Anti-Fraud
5.1 Authorization: You authorize the Company to charge your credit card for the fees listed at checkout. All prices are in USD unless otherwise stated.
5.2 Payment Plans: If you select a monthly payment plan, you are legally obligated to complete all scheduled payments. This is a financing arrangement for a fixed-term program, not a subscription that can be cancelled at will. You acknowledge that the full value of the program is delivered upon access to the digital assets.
5.3 Strict No-Chargeback Policy
You agree that you will not initiate a chargeback with your credit card issuer for any reason. If you are unsatisfied with the service, you must follow the refund procedures outlined in Section 4.
By attempting a chargeback, you agree that:
- You are forfeiting your right to the "Action-Based Guarantee."
- The Company will provide your bank with copies of this Agreement, your access logs, IP history, and chat records to prove service delivery.
- We reserve the right to report the incident to relevant credit reporting agencies or fraud databases as a delinquent debt.
- You will be liable for a $50 administrative fee for each dispute we must fight, regardless of the outcome.
5.4 Failed Payments: If a payment fails, access to the App, Community, and Coaching will be suspended immediately. We reserve the right to engage third-party collections agencies for unpaid balances on payment plans.
- Intellectual Property All materials provided (The University Vault, The Black Book, Recipes, Protocols) are the exclusive property of the Company. You are granted a personal, non-transferable license to use these materials for your own health journey. You may not share, resell, distribute, or copy these materials. Unauthorized distribution will result in immediate termination without refund and potential legal action.
- Community Confidentiality We maintain a safe, high-performance environment. You agree that any personal information shared by other members in the "Boardroom" calls or WhatsApp group is strictly confidential. What happens in the room, stays in the room. We have a zero-tolerance policy for harassment or solicitation.
- Limitation of Liability To the fullest extent permitted by law, the Company’s total liability to you for any claims arising out of this Agreement shall not exceed the total amount paid by you to the Company in the 12 months preceding the claim. You voluntarily assume all risks associated with dietary changes and exercise.
- Governing Law This Agreement shall be governed by and construed in accordance with the laws of Singapore. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Singapore.
